adidas – TaylorMade, Adams Golf and Ashworth, sold to KPS Capital Partners

May 11, 2017 – adidas has announced that it has entered into a definitive agreement to sell its TaylorMade, Adams Golf and Ashworth golf brands to a newly formed affiliate of KPS Capital Partners, LP for a total consideration of US$ 425 million, around half of which will be paid in cash with the remainder in a combination of secured note and contingent considerations. The transaction, which is subject to customary closing conditions, is expected to be completed later in 2017.

As a result of the transaction, adidas will record a non-operational negative P&L impact in the high-double-digit to low-triple-digit million euro range, which will be reported in discontinued operations as part of the company’s 2017 results.

“TaylorMade is a leading global golf brand with an exceptionally strong market position. We would like to thank all TaylorMade employees for their many contributions to our company and wish them all the best for a successful future under their new ownership. At the same time, we welcome all adidas Golf employees who will be integrated into our adidas Heartbeat Sports Business Unit,” said Kasper Rorsted, CEO of adidas AG.

“Within our long-term strategy ‘Creating the New’, our focus is clearly on our core competencies in footwear and apparel and on our two major brands adidas and Reebok.”

While – as already detailed-out in the adidas 2016 Annual Report – the divestiture of the golf hardware business changes some specifics of the company’s outlook for the current year, adidas continues to expect to increase its net income from continuing operations to a level of between € 1.200 billion and € 1.225 billion in 2017. In addition, the strategic divestiture of the three golf brands has also already been reflected in the company’s updated long-term outlook. As announced in March 2017, adidas aims to achieve net sales of € 25 billion to € 27 billion and an implied operating margin of 11% by 2020.

Guggenheim Securities LLC acted as exclusive financial advisor to adidas AG and Sheppard, Mullin, Richter & Hampton LLP served as legal counsel.

Adams Golf – New Red Hybrid helps golfers to hit better shots more consistently

Adams-Red-Hybrid-1

March 1, 2015 – Adams Golf, makers of the No.1 hybrid on the PGA Tour since 2008, today announced the arrival of the new Red Hybrid. The benchmark product in the Adams stable, Red delivers players of all abilities an appealing, confidence-inspiring shape with proven performance. Red’s versatility delivers on what golfers need, when and where they need it. Shot-shaping properties make it easy to find optimal ball flight (draw, fade, low, high), while sole, crown and head features deliver easy launch conditions for Tour players and amateurs alike.

Red Hybrid incorporates several new advancements into a clean and elegant package, all designed to help the golfer hit better shots more consistently. Adams engineers found new ways to innovate in the hybrid category, adding features that allow Red Hybrid to meet the demands of golfers everywhere. Many of the core attributes were created following critical Tour player feedback, an integral part of any club development process. The result was Red, featuring a beautiful, playable shape without sacrificing shot-shaping options and playability.

All in, the recipe for Red Hybrid is simple:

  • Adams has bucked the trend set by many of today’s hybrids, which in the endless search for distance, have grown larger and larger in size. Instead, engineers placed the focus on versatility, utilizing a smaller head (95cc) that can handle a wider variety of difficult shots and make them easier to hit from all conditions.
  • Adams Golf’ patented upside-down head design brings the CG lower, promoting easier launch and greater demand from all lies, increasing playability and inspiring player confidence.

Together, these two features produce an attractive head with Adams’ classic distinctive toe-shape that is long, forgiving and easy to launch. But, there’s more:

  • To keep ball speed fast, even on off-center hits, Red Hybrid utilizes Adams’ trusted and proven Velocity Slot Technology on the sole and Ghost Slot Technology on the crown.
  • As an extra benefit to those seeking maximum shot-shape options, three transferrable weights on the sole (one 25g & two 2g) can be configured to promote the flight that works best.

The result of these ingredients is Red Hybrid: an aesthetically pleasing hybrid that will work for the golfer to make the game’s difficult shots easier.

“Adams Red is golf’s next great hybrid from our company,” said Brian Bazzel, Senior Director, Product Creation of Adams Golf. “To be able to pack so much into such a beautiful shape and deliver performance, I was blown away seeing and hitting it for the first time. After seeing Red in testing with players of varying ability, we’re confident it will resonate not only with amateurs, but also meet and exceed expectations for the best players in the world.”

Adams Golf Tour staffer Aaron Baddeley tested the Red Hybrid in early January, raving about its aesthetics and playability and foresees putting into his bag in the short future. “Red is the total package,” said Aaron Baddeley, three-time PGA Tour winner and Adams Golf brand ambassador. “It’s consistently long, it’s versatile and I’ve never felt more confident and comfortable with a hybrid in my hands.”

Adams Golf – New Tight Lies products, including Hybrid and Titanium Fairway Wood

Adams-New-Tight-Lies

September 5, 2014 – Adams Golf have announced its new Tight Lies fairway woods and hybrid featuring the company’s fifth generation of its award-winning Slot Technology. In contrast to previous models designed with both a sole slot and a crown slot for maximum performance, these 2015 products are enhanced uniquely by new Ghost Slot Technology, which masks the crown slot to create a clean look at address. The finished product is a design appealing to more golfers without sacrificing performance.

The patented Ghost Slot Technology is a new crown slot that is nearly invisible and features a refined “barbell” cut-thru slot design, which reduces stress on the face while creating even faster ball speeds and higher launch than previous slot iterations.

Also critical to the overall identity and success of the new Tight Lies is its signature “upside-down head shape” and tri-sole, which help separate it from other fairway woods. These hallmark features are being used to create the first ever Tight Lies hybrid.

For the first time, the marque features that made Tight Lies so successful and so easy-to-hit – the upside down shaping and the low-profile design which produce a lower CG and higher launch – are now being put to use in a hybrid. These elements have made Adams the #1 Hybrid on Tour (*), and combined with the new Ghost Slot Technology create a hybrid that is exceptionally playable from all lies without sacrificing the classic look that golfers at all levels crave.

Another new addition to the Tight Lies family is the Tight Lies Titanium fairway wood, featuring a Titanium face and crown with a stainless steel sole – boasting the lowest CG ever in an Adams fairway wood. By using a titanium construction and the new Ghost Slot Technology, Adams has created a fairway wood that reaches the USGA’s limit on spring-like effect. The results are a fairway wood with the playability of Tight Lies, but horsepower that will rival other fairway woods on the market.

Designed to maximize performance, Tight Lies is created for players on the PGA Tour and high-handicap golfers alike. The fairway wood remains one of the most difficult clubs to hit for golfers at every level, but the new Tight Lies Titanium fairway combines easy-to-hit characteristics with distance-enhancing qualities and classic shaping – making it the ideal mix of playability and performance.
